Nissan and Honda backed out of their merger: the reasons for the breakup

Nissan and Honda canceled their merger, but they will continue collaborating on the development of electric cars.

The anticipated merger between Honda and Nissan did not materialize. After months of negotiations, both automakers decided to backtrack on the agreement that would have made them the third largest automotive group in the world, only behind Toyota and Volkswagen.

Nissan announced the termination of the Memorandum of Understanding (MOU) signed on December 23 of last year, which explored the possibility of a business integration with Honda.

The reason for the disagreement between Nissan and Honda

The central issue lay in the structure of the merger. According to Nissan, initially, the creation of a joint holding company was considered, where both companies would share control. However, Honda proposed a change in the scheme in which it would become the parent company and Nissan would become a subsidiary.

This meant that Honda would appoint the majority of the board, including the CEO, which altered the balance of power agreed upon in the initial MOU. Nissan did not accept this scheme and, after evaluating the market context and strategic needs, both companies decided to halt the negotiations.

The impact of the failed merger on the industry

If the integration had gone ahead, they would have created a giant capable of competing with Tesla and BYD in the electric vehicle market. However, the complexity of the operation and the need to maintain agility in decision-making outweighed the ambition for scale.

The two automakers argued that, in an increasingly volatile market and in the midst of a transition to electrification, reaction speed is key. The merger, instead of accelerating their plans, could have caused strategic delays.
